The short version

  • You're dealing with K-Jensen LLC, an Alabama company in Dothan. Kagen Cloud and Kagen Mail are its products.
  • Our services are only for adults who live in the United States, and not in Texas, Utah, Louisiana or California.
  • You pay list prices, billed by the hour or month as shown before you create anything, on one monthly invoice.
  • You can export your data and close your account at any time.
  • If an invoice is more than 10 days overdue, we may suspend service after emailing you.
  • You're responsible for what you host; our Acceptable Use Policy lists what isn't allowed.
  • Our liability is limited to what you paid us in the month before the problem.

1. Who we are

These terms are an agreement between you and K-Jensen LLC ("K-Jensen", "we", "us"), an Alabama limited liability company at 212 W. Troy St. STE B, Dothan, AL 36303, phone 817-422-8663. Kagen Cloud and Kagen Mail are products of K-Jensen LLC.

"You" means the person or organization that uses the site or holds a Kagen Cloud account. If you accept these terms for an organization, you confirm that you're allowed to bind it.

2. What these terms cover

These terms cover:

  • the websites kagen.cloud, kj-mail.com and invoice.kagen.cloud (the "Sites"); and
  • the Kagen Cloud, Kagen Mail and Kagen Invoice services you use through an account, and our iPhone and iPad apps (the "Services"): websites, email, domains and DNS, Speed & Protection, apps, servers, Kubernetes, databases, storage, Stream, email sending, backups, monitoring, logs, functions, invoicing and anything else we offer through the customer portal or our apps.

Our Acceptable Use Policy, Privacy Policy, Service commitments (SLA) and Data Processing Addendum are part of these terms.

If you have a signed agreement with K-Jensen LLC (for example a Client Services Agreement for building a website, or a Hosting & Maintenance Agreement), that signed agreement controls wherever it differs from these terms.

3. Who can use Kagen Cloud

Eligibility. The Sites and the Services are offered only to people, businesses and organizations that meet all of these conditions:

  • You are at least 18 and able to enter a contract. The Services aren't for children or teenagers, and we don't offer them to anyone under 18.
  • You live in the United States (one of the 50 states or the District of Columbia). For a business or organization, it is established and operating in the United States, and everyone who uses the Services on its behalf lives in the United States. We don't offer the Sites or the Services anywhere outside the United States, including the European Union, the European Economic Area, the United Kingdom, Canada and Mexico.
  • You don't live in an excluded state. We don't offer the Sites or the Services to residents of Texas, Utah, Louisiana or California, and they may not use them. These states have passed laws that require app stores and app developers to verify or collect the ages of their users. We may add other states that pass similar laws; we'll update this list when we do.

Your promise about where you live. When you ask for an account, accept an invitation, or are given a sign-in by an organization, you tell us the state you live in. By doing so, and each time you use the Services, you confirm that the information is true and that you meet these conditions. If you move, or if any of this stops being true, you must tell us at support@kagen.cloud and stop using the Services.

How we check. We check where sign-ups and sign-ins come from, using the IP address of the connection and a database of IP locations that we keep on our own servers (no outside company sees your address for this; see our Privacy Policy). We refuse sign-ups and sign-ins that come from outside the United States or from an excluded state. Our Kagen apps are available only in the United States App Store.

If you don't meet these conditions, you may not use the Sites or the Services. If we learn that an account or request doesn't meet them, we may decline it, suspend or close the account, and delete the data we collected.

Every new account is reviewed by a person. We may decline a request without giving a reason.

4. Your account

  • Keep your sign-in details secure and tell us straight away at support@kagen.cloud if you think someone else has used your account.
  • You're responsible for what happens in your account, including what the people you invite to it do.
  • Give us accurate contact and billing details and keep them up to date. We send important notices to the email address on your account.

5. Prices and billing

  • Prices. Our prices are published on the pricing page and shown in the portal before you create anything. Everyone pays the same list price unless you have a written agreement with us.
  • How we bill. Servers, apps, databases, storage plans and IP addresses are billed by the hour while they exist, and never more than their monthly price in a month. Mailboxes and websites are billed per month. Usage such as transfer, video minutes or emails is billed only above what's included.
  • Invoices. We send one invoice a month, by email, for the previous month. It's due 14 days after the invoice date unless the invoice says otherwise. You pay on Stripe's secure page by card or bank transfer. We don't store your card and there's no automatic charge.
  • Credit and promo codes are applied to your invoices automatically. They have no cash value and can't be transferred.
  • Taxes. Prices don't include sales tax or other taxes. If a tax applies, it's shown on the invoice.
  • Price changes. We may change prices with at least 30 days' notice by email. A change applies to you from your next invoice period after that notice.
  • Disputes. If you think an invoice is wrong, tell us within 30 days of the invoice date and we'll look at it with you. We'll correct genuine mistakes.

6. Late payment, suspension and termination for non-payment

  • If an invoice is more than 10 days past due, we may suspend the Services on your account after emailing you. A suspended website shows a "temporarily unavailable" page; nothing is deleted.
  • If payment is still outstanding 10 days after suspension, we may terminate the Services on your account.
  • After termination for non-payment we keep your data for 30 days, so you can pay and get it back or ask for an export. After that it may be permanently deleted.

7. Your content and data

  • It's yours. You keep all rights to the content and data you store with us ("Your Data"). You give us permission to host, copy, transmit and back it up only as needed to provide the Services.
  • Our role. We process Your Data on your behalf and follow your instructions, as described in the Data Processing Addendum. We don't sell it, we don't use it for advertising, and we don't read your email.
  • Your responsibility. You confirm you have the right to store and share Your Data, and that it doesn't break the law or our Acceptable Use Policy.
  • Your own copy. Our backups are a strong safety net, but keep your own copy of anything you can't afford to lose. Everything can be exported.

8. Acceptable use

You'll use the Services only as allowed by our Acceptable Use Policy. We may suspend content or resources that break it. Serious cases, such as active malware or illegal content, may be suspended without notice; in other cases we'll warn you first.

9. Service availability

We run the Services on our own infrastructure and work to keep them available and to fix problems quickly. We don't promise a numeric uptime percentage. What we do commit to is described in our Service commitments (SLA), and you can check the current state of every service at status.kagen.cloud.

We sometimes need to do maintenance. Where it may interrupt a service, we'll announce it on the status page in advance whenever we can.

10. Changing or ending the Services

  • You can delete resources or close your account at any time from the portal or by emailing us. Billing stops when a resource is deleted; you pay for use up to then.
  • Before you leave, export anything you want to keep. Deleted apps keep a final backup for 14 days and deleted databases for 30 days; other data is removed when you delete it.
  • We may stop offering a product with at least 60 days' notice, except where the law or a supplier forces a shorter period. We may close your account for a serious or repeated breach of these terms, and will give notice where we reasonably can.

11. Third-party software and services

Apps in our marketplace are open-source software made by other people and are provided under their own licenses. We install, run and update them, but we don't write them and can't promise they're free of bugs. Payments are processed by Stripe under its own terms.

12. Warranties

We provide the Sites and Services with reasonable care and skill. Apart from that, and to the fullest extent the law allows, the Sites and Services are provided "as is", without other warranties, express or implied, including fitness for a particular purpose.

13. Limitation of liability

To the fullest extent the law allows:

  • Data loss. If Your Data is lost, our responsibility is to restore it from the most recent available backup.
  • Overall cap. Our total liability for any claim arising from the Services is limited to the fees you paid us for the Services in the 1 month before the event that caused the claim.
  • Indirect losses. We're not liable for indirect, incidental or consequential damages, such as lost profits, lost business or downtime.

If you also have a signed agreement with K-Jensen LLC, the liability terms in that agreement apply to the work it covers.

14. Indemnity

If someone makes a claim against us because of Your Data or your breach of these terms or the Acceptable Use Policy, you'll cover our reasonable costs of dealing with it.

15. Intellectual property

The Sites, the portal, and the Kagen Cloud, Kagen Mail and K-Jensen names and logos belong to K-Jensen LLC. You may not use them without our written permission, except to say truthfully that you use our Services.

16. Changes to these terms

We may update these terms. We'll post the new version here with a new date and, for changes that matter to existing customers, email you at least 30 days before they apply. If you keep using the Services after that, the new terms apply.

17. Governing law

These terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules.

18. Accessibility

We aim for our own Sites and portal to meet WCAG 2.1 AA and test them for it. Websites we host or build for you are yours; unless a signed agreement with us says otherwise, accessibility of their content is your responsibility.
